Terms & Conditions
Standard operating terms, licensing rights, and software engineering agreements.
1. Contractual Agreement
By engaging ROPO Technologies ("ropotechnologies.com") for custom software development, mobile application engineering (iOS/Android), ERP software deployment, or technical consulting, the client agrees to be bound by these Terms & Conditions.
2. Project Architecture & Milestone Execution
All custom development projects are executed through structured engineering phases: Requirement Discovery, Architecture Blueprinting, UI/UX Prototyping, Backend/Logic Implementation, Quality Assurance, and Production Launch. The client agrees to provide timely feedback and formal milestone sign-offs at each designated phase.
3. Source Code Rights & Intellectual Property
- Full Client Ownership: Upon complete settlement of all agreed contractual milestone payments, ROPO Technologies grants the client 100% proprietary ownership of custom-written source code, database architectures, and assets created specifically for the project.
- Zero Per-User Royalties: Unless specified for proprietary third-party APIs (such as WhatsApp Business API, SMS Gateways, or Payment Gateways), our enterprise software does not incur recurring per-user licensing fees.
- Pre-Existing Frameworks: Open-source libraries (e.g., Next.js, React, Node.js, Flutter) remain licensed under their respective MIT/Apache licenses.
4. Commercial Invoicing & Payment Terms
Payments shall be remitted in Indian Rupees (INR) or agreed foreign currencies in adherence to the invoice milestones defined in the Project Proposal. Invoices are subject to applicable GST taxes. Delayed milestone payments exceeding 15 business days may lead to temporary suspension of development sprints or staging server access until dues are cleared.
5. Post-Deployment Warranty & Support SLA
ROPO Technologies provides a complimentary 30-Day Bug-Fixing Warranty post-production launch to remediate discrepancies against the signed Scope of Work. Ongoing cloud management, server upgrades, feature additions, and 24/7 emergency response are governed by our Annual Maintenance Contracts (AMC / SLA).
6. Limitation of Liability
ROPO Technologies shall not be held liable for indirect, incidental, or consequential business losses arising from client-side server misconfiguration, third-party API downtime (e.g., AWS, payment gateways, telco network disruptions), or unauthorized administrative credential sharing by the client’s internal staff.
7. Governing Law & Dispute Jurisdiction
These terms are governed in accordance with the laws of India. Any legal disputes arising out of contracts shall be subject to the exclusive jurisdiction of the competent courts in India.
